Citizens Bank’s Structured Finance Group is seeking an experienced Associate in New York City to support the team’s senior professionals in originating, structuring and executing debt financings. Transactions to support acquisitions, leveraged buyouts, dividend recapitalizations, in-court and out-of-court restructurings and short/long term refinancings. The Associate’s/VP responsibilities will require significant transaction involvement, from origination through closing, and the ability to work on multiple projects and transactions concurrently. The Associate/VP will play a critical role on deal teams and coordinating projects and will interact directly with Managing Directors, Directors, senior management, other groups within Citizens, prospective customers, investment banking clients, private equity firms, legal counsel, and professionals at other banks. This position offers an excellent opportunity to join a recently formed team at a rapidly growing bank with market leading positions in middle market corporate and financial sponsor backed transactions. The Structured Finance Group sources new financings greater than $20 million from key intermediaries, including large/mid-size investment banks and distressed-focused private equity funds. As a result, the Associate/VP will have the opportunity to develop direct relationship management responsibilities with the intermediaries. Through this experience the Associate/VP will gain insight into the issues and considerations for management teams and shareholders at growing corporations, and exposure to strategic, financial and capital decision making. Key Tasks and Responsibilities of the role include, but are not limited to: Working with Managing Directors and Directors to develop new business ideas, pitch strategies or transaction financing scenarios to help clients to achieve their financial and strategic objectives Actively participating in meetings with investment banking, P/E funds as well as other clientsPreparing pitch materials for client meetings, including liaison with capital markets and underwritingPerforming extensive financial statement modeling for a variety of transaction scenariosConducting comprehensive industry and customer research to create and maintain essential customer and internal reportsAnalyzing financial model output and client information to prioritize data and present conclusions for discussion purposesCoordinating with team members to provide indicative transaction structure and pricing guidance based on financial model and comparable transaction analysisSupporting Portfolio/Relationship Managers in transaction screening and credit/underwriting approval meetings to provide detailed overviews on clients and transactions and offer deal insights and adviceProvide corporate finance, equity valuation, relative value analysis and comparable analysis support for senior debt financings, as well as, full capital structure analysis including second lien, mezzanine debt and debt capacity analysis.Credit underwriting focused on completing acquisitions, recapitalization, restructurings, leveraged buyouts and refinancing transactions for new and existing customers. Completing and managing process of implementationPlaying a key leadership role throughout the transaction execution process Working with legal counsel and clients to draft and negotiate all legal documentationWorking with sales distribution team to develop syndication strategies with targeted investor lists and populate and manage data room information and accessAssisting clients, internal operations team and investors through the closing processThis opportunity carries a competitive salary and a discretionary annual bonus based on individual and firm achievement.
