Job Description

Commercial Contracts and Warranty lead based in NA and part of the Global Commercial Contracts and Warranty function. Support and advise all North and South American sales teams on ZF Group Commercial Policy including: policy deployment; the project management of all commercial contract concerns raised by sales; the review and approval of master contracts using the Contract Review process (DG01-02); advising sales on quotations, nominations and PO responses; the review of warranty settlements and advising on warranty provisioning.

The scope of the role will cover the total project management of contract activities from: initial assessment (and arranging translations where applicable) of contracts, identification of potential concerns, team review (with sales, engineering, quality, operations, etc), solution advice, solution proposal and drafting, legal review; through to negotiation tactics, supporting sales in customer negotiations and final agreement and execution. This role will also implement commercial process improvements and provide training to sales in the region as well as collate and organize all contracts centrally for the NA and SA regions including entry into the global Contracts Management System (CMS).

Major Responsibilities:

  • Management of commercial contracts activity in NA/SA regions for all local manufacturers including contract review, negotiation and generation of formal written responses., Interface with global team members for global OEM related JVs ensuring consistency across ZF Division A (and increasingly ZF Group).

  • Full evaluation of commercial contracts (e.g. terms and conditions and warranty agreements) before and during Contract Review (DG01-02).

  • Collate, log, monitor and control commercial contracts activity in North and South America, including all master contracts in to the CMS. Ensure master contracts situation always up to date for sales reference.

  • Produce regular summary reports on the active commercial contract projects in the regions.

  • Provide commercial advice to the sales teams on the process of contract approval, commercial policy and the basic principles of local law (assisted by Legal Counsel)

  • Identify latest contractual activity and ensure that contractual concerns are raised and review at appropriate level within the organization.

  • Lead the review of commercial contracts with the Contract Review teams.

  • Ensure legal review of all master contracts raised by sales prior to execution.

  • Lead/Support on issues relating to Commercial Warranty Management (claims reviews, summarizing warranty analysis data, commercial warranty settlements, disputes, drafting response letters, etc…).

  • Arrange for the translation of key commercial documents, and where applicable provide technical translation from Portuguese into English (e.g. in the case of Brazil)

  • Provide advise and support to sales on Quotations, Nomination Responses and PO Responses.

  • Advise sales on any Commercial Policy questions raised within the regions.

  • Deploy Commercial Policy within the regions.

  • Liaison between legal, sales, commercial, quality and operations.

  • Support the continuous improvement of existing processes.

  • Implement global process improvements into the NA/SA region.

  • Provide process related training to the sales teams in NA/SA.

Key Competencies:

  • English essential with a preferred second language (e.g. Spanish, Portuguese)

  • Good understanding of Law (understanding of Contract Law is an advantage)

Required Education and Experience

Experience and Skill Requirements

Educational: Degree level Commercial and / or Legal (Masters Level preferred but not

essential).

Experience: Minimum of 5-7 years of commercial and/or contractual experience preferred.
