Job Description / Information
TheSenior Regional Counsel EEMEA provides professional legal services to the Stryker entities in EEMEA to ensure that Stryker’s legal rights are protected and that the business is compliant with local, international and corporate requirements.
Provide timely advice and counsel to clients, including Stryker management and the EEMEA Leadership Team.
Effectively manage, lead and engage a team of Legal professionals across the EEMEA division.
Participate in the due diligence process for new indirect channels (“ICs”), renewals of existing agreements and review of contractual documentation for ICs.
Supervise and oversee the drafting of and review commercial agreements, and participate in negotiations to ensure the legal rights of Stryker are protected.
Supervise and oversee the drafting and implementation of appropriate agreements for surgeon consultancies, research, sponsorship and fellowships and ensure that appropriate compliance principles are included and that compliance standard operating procedures are followed.
Supervise and oversee the drafting and negotiation of various agreements, including tender agreements, hospital supply/pricing agreements, and consignment and loan kit agreements and proactively handling various commercial matters through to resolution.
Provide advice on employment–related issues where there is an issue to assess and/or when external legal advice may be required.
Provide counsel and guidance in navigating local laws and regulations that directly and indirectly impact the various businesses.
Provide counsel and advice in the termination of distributors, agents, and other third parties, including negotiation and drafting of termination and settlement agreements.
Provide counsel and advice in acquisition integration activities and support the implementation of integration strategies.
Monitor legal developments across the EEMEA region, provide updates to the various stakeholders and take such action to address such developments internally.
Instruct external counsel in litigation and other legal matters, and monitor as appropriate.
Review and establish standard forms for agreements in EEMEA.
Assist and support Stryker’s compliance programs and work closely with the Compliance Officer in this area, including serving as a member of the EEMEA Compliance Committee.
Provide assistance in relation to governance of the EEMEA entities, ensuring that board meetings are properly conducted, and that annual meeting and filing requirements are observed.
Actively participate in the projects and work undertaken by the Legal and Compliance Department team including regular reports to the Chief Legal Counsel.
Advise the business on laws, regulations, and Stryker policies with strong knowledge of the US Foreign Corrupt Practices Act (FCPA) and the MedTech Europe Code of Ethics.
Initiate, develop and provide in-house training and education.
Follow, implement, develop and improve internal processes.
Collaborate and communicate with colleagues, senior management, and outside counsel, and lead projects in a global organization.
Assist on other matters as needed.
Law degree and admission to practice law.
Minimum 8 years of applicable professional experience within a law firm or a legal department.
